Welcome to the Business Services Group Winter Update.  

Welcome to the Business Law Winter e-shot. The good news is that our experience is that there has been an increase in the number of acquisitions and disposals in the M&A market over the autumn period.

We are using this e-shot to highlight some common themes in such transactions in a difficult market and to illustrate the range of expertise which is required successfully to manage and complete M&A transactions.

Mark Lucas reports on our experience of transactions in a difficult market.

Whilst deal volumes and values are significantly down from the peaks of 2005 to 2007, there are enough transactions for some themes to be recognisable.

David Ludlow explains some of the employment issues that arise on the sale and purchase of a business or the transfer of a service provider contract.

Few business people will not have heard of TUPE, the Transfer of Undertakings (Protection of Employment) Regulations 2006. This is the English version of the European - wide laws by which employees’ employment rights are protected on the transfer of their employer’s business to a third party.
