Off the Shelf Company
These are pre-incorporated companies which have not traded, have one class of share and standard commercial articles of association.
The articles of association are the constitution for the company and set out what the company can and can’t do, how it should be managed, how directors and shareholders meetings should be conducted and how shareholders can exercise their rights.
Our incorporation service includes:
- Companies House searches to determine the availability of the chosen company name;
- The preparation and filing of all documentation required for the incorporation of the company at Companies House;
- The preparation of draft directors’ minutes and related documentation to approve:
- the appointment of directors, secretary;
- the location of the registered office;
- the initial issue and transfer of shares, including exempt stock transfer forms to effect the transfer of subscriber shares;
- the extension or shortening of the accounting reference date;
- preparation and submission of relevant forms to the Registrar of Companies;
- The issue of a share certificate for each shareholder;
- Five bound engrossments of the Memorandum and Articles of Association
- Completed Statutory Registers, including draft first board minutes and written resolutions in the minute book.
