Despite the challenging trading conditions, the Company Commercial team at Barlow Robbins completed 26 transactions in 2011, many of them complex and in the range up to £25m. Below is a snapshot of just some of the deals we have dealt with in the last 6 months:
- Advising Blackhawk Capital, a private equity firm specialising in the Technology, Media and Telecommunications sectors, on its acquisition of Glasshouse AG, a Swiss Company and one of Europe’s leading managed services and data centre consulting providers for an undisclosed sum. From instruction to signing in 3 days!
- Advising on the sale of Gateway School Limited to the Bellevue education Group Limited for an undisclosed sum.
- Advising the partners of Benedict McQueen, a trading division of the Crouch Chapman Partnership, on the sale of the business and certain assets of their insolvency practice to Menzies Business Recovery LLP.
- Advising on the sale of Deane Wood Export Limited to Sims Metal Management, the world’s largest metals recycler and listed Australian company for circa £4.5m including significant related pre-completion re-structuring.
- Advising governors of a prep school on its merger with one of England's leading independent schools using an innovative merger structure.
- Advising on the sale of quantity surveying arm of Miles Miles Limited to the Jackson Rowe group of companies for an undisclosed sum;
- Advising on several Company buybacks of shares for a total value in excess of £5m including ones incorporating a multiple deferred completion structure.
The team’s 2012 pipeline is already looking promising with instructions received to advise on transactions in the packaging, fuel management, transaction software, IT, business intelligence, education, commercial property design and commodity trading sectors.
