Barlow Robbins’ Corporate and Commercial team has advised an American buyer on the £multi-million acquisition of a UK based designer and manufacturer of medical products used in the diagnosis of neurological problems.
The buyer, which already operates in the industry, hopes to develop the relationship between the two companies to become the largest supplier of neurodiagnostic equipment to North America and beyond. As part of the transaction, Barlow Robbins was involved in the variation and exercise of EMI options and the provision of several interrelated put and call option agreements, intercompany loan agreements, guarantees and debentures alongside the standard suite of corporate documents.
